Terms of Service

These Terms set out what Ladel provides, what you may and may not do with it, and what each side owes the other. The short version: use Ladel to find people for real jobs and real business, treat their data with care, and make your own decisions.

01The agreement

These Terms are an agreement between [Company legal name] Private Limited (“Ladel”, “we”) and the firm that opens a Ladel account (the “Customer”, “you”). The person who accepts them confirms they are authorised to bind the Customer.

If the Customer has signed an order form with us, the order form wins where it conflicts with these Terms. Our Privacy Policy explains how we handle personal data and forms part of this agreement.

02What Ladel is

Ladel is a search and research service for finding people for jobs and business relationships in India. It includes an AI assistant, people and company data, projects and shortlists, contact lookups, exports and integrations (together, the “Service”).

We improve the Service often. We may add, change or remove features. If we remove a feature you pay for, we will tell you at least 30 days ahead and, where it materially reduces the Service, refund the unused part of any prepaid fee for it. Features marked beta or preview are provided as they are and may change or end without notice.

03Accounts and seats

  • Each user needs their own login. Seats cannot be shared or passed around.
  • You are responsible for what happens under your users’ accounts and for keeping their passwords safe. Tell us at once at hello@ladel.ai if you suspect misuse.
  • You must be a business, and every user must be at least 18. Ladel is not for personal or household use.

04Permitted use

You may use the Service, and data from it, only to find, evaluate and contact people for genuine employment, contract, staffing or business-to-business opportunities, for your own firm or for clients you serve as a recruiter or staffing agency.

05What you must not do

  • Use Ladel data to decide anyone’s eligibility for credit, insurance, housing, tenancy or government benefits, or for background screening that requires a licensed agency.
  • Discriminate against anyone on grounds of caste, religion, race, sex, gender identity, sexual orientation, disability, age, place of birth, marital status or any other ground protected by law.
  • Harass, stalk, threaten or monitor anyone, or contact a person who has asked not to be contacted.
  • Send unsolicited bulk messages, or make calls or send SMS to numbers on the National Customer Preference Register, in breach of TRAI’s Telecom Commercial Communications Customer Preference Regulations or any other anti-spam law.
  • Sell, rent, publish, or give access to Ladel data to anyone outside your firm, except to a client for the specific role or deal you are working on.
  • Build, enrich or update a database, directory or product that competes with Ladel, or use Ladel data to train a machine learning model.
  • Scrape, crawl or bulk-download the Service, go past its export or lookup limits, or access it through automated means other than the interfaces we provide.
  • Probe, break or bypass security, reverse engineer the Service, or interfere with other customers’ use of it.
  • Upload content you have no right to share, or that is unlawful, malicious or contains malware.
  • Try to infer or collect sensitive personal data, such as health, caste, religion, financial or biometric information, about anyone.

06Your duties for personal data

When you shortlist, export or contact a professional, you decide what happens to that person’s data, and you are a Data Fiduciary for it under India’s Digital Personal Data Protection Act, 2023, and a controller under any other law that applies. You agree to:

  • Tell people how you found them and how they can opt out, when you first contact them.
  • Honour opt-out, correction and erasure requests promptly, and tell us when a professional asks you to stop using their data.
  • Keep exported data secure, and delete it once you no longer need it for the purpose you got it for, and in any case within 12 months of export, unless the person has become your employee, candidate in an active process, or client contact.
  • Follow the data protection, employment, telecom and anti-spam laws of every place you contact people in.

If you upload personal data to Ladel, such as a candidate list or notes, you confirm you have the right to do so, and we will process it only to provide the Service to you.

07AI output

Ladel’s answers, rankings, summaries and reasons are produced by AI and drawn from records that can be incomplete or out of date. They are aids to your judgment, not facts or advice. Check anything important before you rely on it, and make every hiring and business decision yourself. Do not use AI output as the only basis for a decision that significantly affects a person.

08Contact lookups

Email addresses and phone numbers come from third-party providers and carry a confidence grade. We do not guarantee they are correct or current. Each plan includes a monthly number of lookups, shown in the product; unused lookups do not carry over. A lookup counts when it is run, whether or not a contact is found.

09Fees, taxes and renewal

  • You pay the fees for your plan in advance, in Indian rupees unless the order form says otherwise. Fees exclude GST and other taxes, which you also pay.
  • Paid plans renew automatically for the same term unless either side cancels before the renewal date. We will tell you of any price change at least 30 days before it applies.
  • Invoices are due within 15 days. If a payment is more than 15 days late, we may suspend the Service after giving you notice.
  • Fees are not refundable, except where these Terms or the law say otherwise.
  • A free plan or trial may be limited, changed or ended at any time.

10Your content

You own what you put into Ladel: your briefs, chats, documents, projects, notes and verdicts (“Customer Content”). You give us permission to host, process and display it only to provide, secure and support the Service. We do not use Customer Content to train AI models.

If you send us suggestions or feedback, we may use them freely without owing you anything.

11Our rights

Ladel, its software, design and the compiled people and company database belong to us or our licensors. While your subscription is active and you follow these Terms, we give you a non-exclusive, non-transferable right to use the Service and the data you view or export from it, for the permitted use in section 4. Nothing else passes to you.

12Integrations and other services

When you connect another service, such as WhatsApp, Slack, Google, or an applicant tracking system, that service’s own terms apply to it, and you authorise us to send data there on your instruction. We are not responsible for services we do not run.

13Confidentiality

Each side will keep the other’s non-public business information confidential, use it only for this agreement, and protect it at least as carefully as its own. This does not cover information that is public, already known, independently developed, or that the law requires to be disclosed.

14Warranties and disclaimers

We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service and all data and AI output are provided as they are, and we give no other promise, including that data is accurate, complete or current, that the Service will be uninterrupted, or that it will suit a particular purpose.

15Limits on liability

Neither side is liable to the other for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data, even if it was told such loss was possible.

Each side’s total liability under this agreement is limited to the fees the Customer paid us in the 12 months before the event giving rise to the claim.

These limits do not apply to the Customer’s payment obligations, to a breach of sections 5 or 6, to either side’s indemnity duties, or to anything the law does not allow to be limited, such as fraud.

16Indemnity

You will defend and compensate Ladel against claims, fines and costs, including reasonable legal fees, arising from your breach of sections 5 or 6, from how you use data obtained through Ladel, or from your Customer Content.

We will defend and compensate you against third-party claims that the Ladel software, used as these Terms allow, infringes their intellectual property rights.

17Suspension and termination

  • You can close your account at any time from Settings or by writing to hello@ladel.ai. Paid fees for the current term are not refunded.
  • We may suspend a user or the account straight away if we reasonably believe it breaches section 5, endangers the Service or other customers, or the law requires it. We will tell you why, unless the law stops us.
  • Either side may end this agreement if the other materially breaches it and does not fix the breach within 30 days of written notice.
  • When the agreement ends, your right to use the Service stops. You may export your Customer Content for 30 days, after which we delete it as our Privacy Policy describes. Section 6 continues to apply to any data you exported.

18Governing law and disputes

These Terms are governed by the laws of India. The sides will first try to settle any dispute by talking in good faith for 30 days. If that fails, the dispute will be resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by agreement or under that Act. The seat of arbitration is [City], and it will be held in English.

Subject to arbitration, the courts at [City] have exclusive jurisdiction. Either side may ask any court for urgent interim relief.

19General

  • Changes. We may update these Terms. We will tell you of a material change at least 30 days before it takes effect. If you keep using Ladel after that, the new Terms apply. If you do not agree, you may close your account and we will refund the unused part of prepaid fees.
  • Force majeure. Neither side is liable for delay caused by events beyond its reasonable control, such as natural disasters, war, government action, or failures of the internet or of power.
  • Assignment. You may not transfer this agreement without our written consent. We may transfer it to a group company or to a successor of our business.
  • Notices. We send notices to the email address of your account owner. You send notices to legal@ladel.ai.
  • Entire agreement. These Terms, any order form and the Privacy Policy are the whole agreement on their subject.
  • Severability and waiver. If a part of these Terms is unenforceable, the rest still applies. Not enforcing a right is not giving it up.
  • Publicity. We may name you as a customer unless you ask us not to.
